These Client Terms of Service (“Client Terms”) form an agreement between Digital Reef Solutions, Corp. (“Digital Reef Solutions”, “we”, “us”), a company registered in the Republic of Panama, and the business that opens a client account (“Client”, “you”). They govern the purchase of leads and the use of our client portal at portal.digitalreefsolution.com (the “Portal”).
By creating an account, topping up your wallet or accepting delivery of leads, you agree to these Client Terms.
We see our relationship as a partnership: your success is our success. These Client Terms set out, as clearly as possible, what you can expect from us and what we expect from you.
1. The service
1.1 We generate or source business (B2B) and consumer (B2C) leads that match the targeting you set (for example country, region or zip code, company size, role, industry or type of service) and deliver them to you through the Portal and, if configured, by email, Google Sheets or webhook.
1.2 Every lead is exclusive. Each lead is delivered to one client only and is never resold or shared with another buyer.
1.3 We do not guarantee any number of leads, contact rates, meetings, sales or revenue.
2. Account and access
2.1 You must provide accurate business information and keep it updated. We may verify your business identity before activating or continuing your account.
2.2 You are responsible for all activity under your account and for keeping login credentials secure. Notify us immediately of any unauthorized use.
2.3 You may add team members. You are responsible for their compliance with these Client Terms.
2.4 Eligibility. We serve businesses worldwide, except where prohibited by law. We do not provide services to persons or entities located in, organized under the laws of, or owned or controlled from countries or regions subject to comprehensive sanctions (such as those imposed by the United Nations, the United States or the European Union), or listed on any applicable sanctions list. You confirm that this applies to you and your owners.
3. Prices and the prepaid wallet
3.1 Price per lead. Your price per lead is shown in the Portal and may differ by service, vertical or region. We may change prices with at least 7 days' notice; changes do not affect leads already delivered.
3.2 Prepaid wallet. Leads are paid from a prepaid balance (“Wallet”). The lead price is deducted when a lead is delivered. When your balance is insufficient, delivery pauses and new leads are held for you. Once your top-up is credited, held leads are delivered first.
3.3 Top-ups. Top-ups are made by SWIFT transfer using your client reference code. Your balance is credited with the amount actually received once the funds reach our account. We may reject a top-up and will tell you the reason.
3.4 Refunds of wallet balance. On account closure, your unused wallet balance, including approved lead credits, is refunded by bank transfer within 10 business days, minus transfer fees. Promotional credits have no cash value. We may withhold a refund, in whole or in part, where required by law, while a payment is under anti-money-laundering or sanctions review, or to cover amounts you owe us.
3.5 Taxes and fees. Prices exclude taxes and bank, card, network or conversion fees, which are your responsibility unless stated otherwise.
3.6 Minimums and term. Minimum purchase amounts and contract terms, if any, are set out in your order or package.
4. Credits for invalid leads
4.1 Full credit for invalid leads. If a lead is invalid, you may request a credit through the portal within 7 days of delivery. Once approved, the full lead price is credited back to your wallet. A lead is invalid if, for example:
- the phone number or email is wrong, disconnected or bounces;
- the contact details belong to someone else, or the person says they never submitted a request;
- it is a duplicate of a lead already delivered to you;
- it is fake, spam or test data;
- it is clearly outside the targeting you configured (for example wrong country, region, service, company size or role);
- for consumer (B2C) leads, the person does not meet a qualification you set (for example not a homeowner).
Other quality issues may also qualify; tell us what happened and we will review it in good faith.
4.2 Requests must be made through the Portal within 7 days of delivery and include a short explanation of the steps you took.
4.3 Monthly allowance. Each month you may receive credits for up to 15% of the leads delivered to you in that month.
4.4 We review each request, usually within 2 business days. If approved, we credit 100% of the lead price to your Wallet immediately. If we reject a request, we tell you the reason.
4.5 A lead is not invalid merely because the person is not interested, did not answer after a few attempts, or chose another provider.
5. Your use of leads (compliance)
5.1 You will use leads only to contact the person about the products or services described in the consent they gave, and in compliance with all applicable laws, including telemarketing, anti-spam, data protection and consumer protection laws (for example, in the United States, the TCPA, the Telemarketing Sales Rule, CAN-SPAM, and state laws).
5.2 You will honor opt-out and do-not-contact requests promptly, maintain your own internal do-not-call list, and check national and state do-not-call registries where required.
5.3 You will not resell, share, rent or transfer leads to any third party without our prior written consent.
5.4 You will keep lead information secure and use it only for your own business.
5.5 You will indemnify us against claims, fines and costs arising from your contact with leads or your breach of this section.
5.6 Data protection. Once a lead is delivered, you act as an independent controller of that lead's personal data and are responsible for processing it in line with applicable data protection laws, including the GDPR where it applies.
6. Our responsibilities
6.1 We will use reasonable efforts to deliver leads that match your targeting, collected with consent appropriate to the way they will be contacted, and to keep consent records available on request.
6.2 We will keep the Portal reasonably available, although it may be interrupted for maintenance or reasons beyond our control.
7. Suspension and termination
7.1 You may stop receiving leads at any time by pausing delivery in the Portal, and close your account by contacting us.
7.2 We may suspend or terminate your account, with notice where practical, if you breach these Client Terms, misuse leads, fail to pay, provide false information, or if required by law or by our payment providers.
7.3 Sections 3.4, 5, 8, 9 and 11 survive termination.
8. Confidentiality
Each party will keep confidential the other's non-public business information, including prices, lead data and technical information, and use it only to perform these Client Terms.
9. Liability
9.1 Except for your obligations under section 5, neither party is liable for indirect, incidental, special or consequential damages, or loss of profits or business.
9.2 Our total liability under these Client Terms in any 12-month period is limited to the amounts you paid us for leads in the 3 months before the claim.
10. Changes to these Client Terms
We may update these Client Terms. We will notify you in the Portal or by email at least 14 days before material changes take effect. Continuing to use the service after that date means you accept the changes.
11. Governing law and disputes
These Client Terms are governed by the laws of the Republic of Panama. Disputes will be resolved by the competent courts of Panama City, Republic of Panama.
